物品売買契約書

本契約書は、以下の当事者間で締結される。

売主と買主は、以下の条件に基づき、物品売買契約を締結することを合意する。

第1条 （物品の売買）

  1. 売主は、別紙「物品リスト」に記載された物品（以下「本物品」といいます。）を、買主に売却し、買主はこれを購入するものとする。
  2. 本物品の仕様、数量、価格、引渡し時期、引渡し場所等の詳細は、別紙「物品リスト」に記載する。

第2条 （価格および支払い条件）

  1. 本物品の価格は、別紙「物品リスト」に記載された金額とする。
  2. 買主は、売主に対し、契約締結日から〇日以内に、本物品の対価を支払うものとする。

第3条 （引渡しおよび所有権の移転）

  1. 本物品の所有権は、買主が本物品の全額を支払った時点で、買主に移転するものとする。
  2. 本物品の引渡しは、契約締結日から〇日以内に、売主の指定する場所で行うものとする。

第4条 （危険負担）

  1. 本物品の危険は、引渡しが完了した時点で買主に移転するものとする。引渡し前に生じた本物品の滅失・毀損等の危険は売主が負担するが、引渡し後の滅失・毀損等は買主の負担とする。
  2. ただし、買主が引渡しを遅延させた場合には、その遅延の時点から危険は買主に移転するものとする。

第5条 （契約解除）

  1. 当事者の一方が本契約の重大な義務を履行しない場合、相手方は書面による通知をもって契約を解除することができる。

第6条 （不可抗力）

  1. 地震、火災、洪水、戦争、政府の規制その他の不可抗力による場合、当事者はその履行義務を免除されるものとする。

This Sales Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between the following parties:

The Seller and the Buyer hereby agree to the sale and purchase of the goods under the following terms and conditions:

Article 1 (Sale of Goods)

  1. The Seller agrees to sell, and the Buyer agrees to purchase, the goods listed in the attached "Goods List" (hereinafter referred to as "Goods").
  2. The specifications, quantity, price, delivery date, and delivery location of the Goods shall be specified in the attached "Goods List."

Article 2 (Price and Payment Terms)

  1. The price of the Goods shall be as stated in the attached "Goods List."
  2. The Buyer shall pay the full amount of the Goods to the Seller within ___ days from the date of execution of this Agreement.

Article 3 (Delivery and Transfer of Ownership)

  1. Ownership of the Goods shall transfer to the Buyer upon full payment of the purchase price by the Buyer.
  2. The Seller shall deliver the Goods to the Buyer at the location specified in the attached "Goods List" within ___ days from the date of this Agreement.

Article 4 (Risk of Loss)

  1. The risk of loss or damage to the Goods shall transfer to the Buyer upon completion of delivery. The Seller shall bear the risk of loss or damage to the Goods prior to delivery, but the Buyer shall bear the risk of loss or damage after delivery.
  2. In the event that the Buyer delays the acceptance of the Goods, the risk shall transfer to the Buyer from the time of such delay.

Article 5 (Termination)

  1. Either party may terminate this Agreement by written notice to the other party in the event of a material breach of this Agreement by the other party.

Article 6 (Force Majeure)

  1. Neither party shall be liable for any failure to perform its obligations due to causes beyond its reasonable control, such as earthquakes, fire, flood, war, or governmental regulations.
